PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS WEBSITE OR SERVICES. BY ACCESSING OR USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THIS SITE.
1. Introduction and Acceptance of Terms
These Terms and Conditions (hereinafter “Terms” or “Agreement“) constitute a legally binding agreement between you (the “User” or “you“) and Highwayhaul Logistics Inc. (“Company,” “we,” “us,” or “our”), a Texas limited corporation with its principal place of business at 15851 Dallas Pkwy Ste 600, Addison, TX 75001.
These Terms govern your access to and use of the Company’s website located at https://www.highwayhaul.us, and all associated content, features, services, and communications offered by the Company, including without limitation its Short Message Service (SMS), WhatsApp messaging, and voice communication services (collectively, the “Services“).
By accessing or using this website, completing a contact form, subscribing to communications, entering into a service agreement, or otherwise interacting with the Company, you acknowledge that you have read, understood, and agree to be bound by these Terms and the Company’s Privacy Policy, incorporated herein by reference.
If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and the term “you” shall refer to that entity.
These Terms are effective as of the date first set forth above and supersede all prior versions.
2. Definitions
As used in these Terms, the following definitions apply:
- “Services” — All logistics, freight dispatch, moving, and related offerings available through the website, including digital communications (SMS, WhatsApp, voice) associated therewith.
- “User” or “you” — Any individual or entity that accesses the website, submits an inquiry, enters a service agreement, or otherwise interacts with the Company.
- “End User” — A recipient of the Company’s messaging communications, including SMS, WhatsApp, or voice messages, who has provided consent to receive such communications.
- “Messaging Services” — The automated or semi-automated SMS (Short Message Service), WhatsApp, and voice messaging capabilities used by the Company to communicate with Users and End Users, facilitated through Twilio, Inc. and Lead Connector.
- “Platform” — The Company’s website at https://www.highwayhaul.us and all associated subdomains, applications, and digital properties.
- “Third-Party Services” — Services provided by external vendors integrated with the Platform, including Twilio (messaging infrastructure), Lead Connector, WhatsApp Business API (Meta Platforms, Inc.), Authorize.net (payment processing), and Stripe, Inc. (payment processing).
- “Personal Information” — Any information that identifies or can be used to identify a natural person, as more fully described in the Company’s Privacy Policy.
- “Opt-In” — The affirmative, explicit, and unambiguous action taken by a User or End User to consent to receive Messaging Services communications from the Company.
- “Opt-Out” — The action taken by a User or End User to withdraw consent to receive further Messaging Services communications, typically by replying STOP to an SMS or WhatsApp message.
- “A2P” — Application-to-Person messaging, referring to the transmission of messages from the Company’s software systems to individual Users or End Users.
3. Description of Services
Highwayhaul Logistics Inc. is a licensed logistics company providing domestic freight dispatch, commercial and residential relocation, heavy haul transportation, dedicated fleet solutions, full truckload shipping, trailer rental, and related services. The Company operates as a third-party logistics provider and freight broker, coordinating transportation services on behalf of carriers, owner-operators, and clients across the continental United States.
In connection with the Services, the Company may communicate with Users and End Users via:
- SMS text messaging (A2P 10DLC and/or Toll-Free Number programs, as applicable);
- WhatsApp Business API messaging;
- Voice calls, including automated and live agent calls;
- Email communications;
- Web-based forms, portals, and quote requests.
All Messaging Services are delivered through Twilio, Inc. as the underlying communications platform provider, and Lead Connector and messaging management platform. The Company reserves the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.
4. User Eligibility and Responsibilities
4.1 Eligibility
By using this Platform or Services, you represent and warrant that:
- You are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater;
- You have the legal capacity and authority to enter into a binding agreement;
- You are not prohibited by applicable law from using the Services;
- All information you provide to the Company is accurate, current, and complete.
4.2 User Responsibilities
You agree to:
- Provide accurate and truthful information when submitting inquiries, onboarding applications, and service requests;
- Maintain the confidentiality of any login credentials or account information;
- Notify the Company promptly of any unauthorized use of your account or credentials;
- Use the Platform and Services solely for lawful business and personal purposes;
- Comply with all applicable local, state, federal, and international laws and regulations, including those governing telecommunications, privacy, and commercial transactions;
- Cooperate with the Company’s compliance and verification procedures.
4.3 Carrier and Owner-Operator Responsibilities
Carriers and owner-operators engaging the Company’s dispatch services additionally represent and warrant that:
- They hold valid and active USDOT authority and MC number as required by the Federal Motor Carrier Safety Administration (FMCSA);
- All drivers and vehicles comply with applicable FMCSA and DOT safety regulations;
- Insurance certificates provided are accurate, current, and meet minimum required coverage levels;
- They will not engage in fraudulent load booking, double-brokering, or identity misrepresentation.
5. Messaging Program Terms
IMPORTANT — TWILIO A2P COMPLIANCE NOTICE: This section governs all SMS, WhatsApp, and voice messaging communications between the Company and Users or End Users and is intended to comply fully with Twilio’s Acceptable Use Policy, the CTIA Messaging Principles and Best Practices, the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal and state telecommunications regulations.
5.1 Consent and Opt-In Requirement
The Company will only send SMS, WhatsApp, or voice messages to individuals who have provided prior express written consent to receive such communications. The Company does not send unsolicited messages. Consent is obtained through one or more of the following methods:
- Submitting a web form on the Platform that includes a clear, unambiguous disclosure statement and a checkbox (not pre-checked) that the User actively selects to consent to receive messages;
- Signing a service agreement or dispatch contract that includes a clear and conspicuous consent clause;
- Verbally confirming consent during an inbound call, which is documented in the Company’s CRM system;
- Initiating a text conversation with the Company by texting a designated keyword to the Company’s messaging number.
No consent is required as a condition of purchasing goods or services from the Company. You may elect to receive messages for transactional or service-related purposes only and may still purchase services without consenting to marketing communications.
Consent Disclosure Statement (presented at point of opt-in): “By checking this box, you consent to receive SMS text messages, WhatsApp messages, and/or voice calls from Highwayhaul Logistics Inc. at the phone number provided. Message types may include service updates, appointment confirmations, dispatch notifications, account alerts, and promotional offers. Message and data rates may apply. Message frequency varies. Reply STOP to opt out at any time. Reply HELP for help. Consent is not a condition of any purchase. View our Privacy Policy at https://www.highwayhaul.us/privacy-policy/.”
5.2 Message Types and Frequency
The Company may send the following categories of messages to consenting Users and End Users:
- Transactional Messages: Dispatch confirmations, rate confirmations, load updates, delivery status notifications, appointment reminders, and invoice or billing notifications;
- Service Messages: Onboarding instructions, document request alerts, compliance or safety notices, and account management communications;
- Promotional Messages: Company announcements, service promotions, industry updates, and referral program notices (sent only to Users who have separately consented to marketing communications).
Message Frequency: Message frequency will vary based on your account activity, service engagements, and communication preferences. Transactional messages are sent as triggered by service events. Promotional messages may be sent up to four (4) times per month, unless you have separately indicated a different frequency preference.
Message and Data Rates: Message and data rates may apply. Standard carrier messaging and data rates charged by your mobile carrier may apply to messages sent and received. The Company does not charge a separate fee for receiving messages, but your mobile carrier may. Contact your mobile carrier for details regarding your plan.
5.3 Opt-Out Instructions
You may withdraw your consent to receive messages from the Company at any time, at no cost, using any of the following methods:
- SMS/WhatsApp: Reply STOP to any message from the Company. Upon receipt of a STOP message, the Company will send a single confirmation message and will cease sending further messages to your number. Standard STOP keywords recognized include: STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, and QUIT.
- Email: Send an opt-out request to operations@highwayhaul.us with your name and phone number.
- Phone: Call 972-330-1070 and request to be removed from messaging lists.
- Web: Submit an opt-out request through the contact form at https://www.highwayhaul.us/contact-us/.
Following opt-out, you will continue to receive any legally required communications (such as billing statements or regulatory notices) that are not subject to opt-out, unless prohibited by law. Opting out of promotional messages does not affect receipt of transactional service messages unless you separately request this.
The Company will process opt-out requests within ten (10) business days and will update its CRM and messaging platform records accordingly.
5.4 Help Instructions
If you need assistance with the Company’s Messaging Services, you may reply HELP to any message you receive. You will receive a response containing the following information:

5.5 WhatsApp-Specific Terms
Where the Company communicates via WhatsApp, the following additional terms apply:
- All WhatsApp messaging is conducted through the WhatsApp Business API, provided by Meta Platforms, Inc., and is subject to WhatsApp’s Business Policy and WhatsApp’s Terms of Service;
- Message templates used for A2P WhatsApp communications have been registered and approved by Meta in accordance with WhatsApp Business API requirements;
- Users who communicate with the Company via WhatsApp agree to Meta’s privacy practices as set forth in Meta’s Privacy Policy;
- The Company does not sell or share WhatsApp conversation data with third parties for marketing purposes.
5.6 Voice Call Terms
Where the Company conducts voice communications, including auto-dialed or pre-recorded message calls, the following terms apply:
- The Company will only place auto-dialed or pre-recorded voice calls to individuals who have provided prior express written consent under the TCPA;
- Live agent calls made in the ordinary course of business do not require prior written consent but are subject to applicable do-not-call regulations;
- Calls may be recorded for quality assurance and compliance purposes; you will be informed at the start of any recorded call.
5.7 No Consent as Condition of Purchase
Your consent to receive promotional or marketing SMS, WhatsApp, or voice messages is not, and will not be, a condition of purchasing any service from the Company. You may engage the Company’s services and decline to receive promotional communications without affecting the terms, pricing, or availability of services offered to you.
6. Privacy and Data Usage
6.1 Privacy Policy
The Company’s collection, use, storage, disclosure, and protection of your Personal Information is governed by its Privacy Policy, available at https://www.highwayhaul.us/privacy-policy/, which is incorporated into these Terms by reference. By using the Platform or Services, you acknowledge and agree to the data practices described in the Privacy Policy.
6.2 Data Collected
In connection with the Services and Messaging Programs, the Company collects the following categories of information:
- Contact information: full name, business name, email address, phone number, physical address;
- Carrier and logistics data: USDOT number, MC number, carrier authority, equipment specifications, insurance details;
- Financial information: payment card or banking details (processed through Authorize.net or Stripe; not stored on Company servers);
- Communication data: message content, timestamps, opt-in and opt-out records;
- Website usage data: IP address, device type, browser information, pages visited, and cookie identifiers;
- Transaction records: invoices, rate confirmations, bills of lading, and service agreements.
6.3 Use of Data
The Company uses your information to:
- Provide, manage, and improve the Services;
- Send transactional, service, and (where consented) promotional communications via SMS, WhatsApp, email, or voice;
- Process payments and maintain billing records;
- Comply with legal and regulatory obligations;
- Maintain records of messaging consent and opt-out status for TCPA and Twilio compliance purposes;
- Detect, investigate, and prevent fraud, abuse, or violations of these Terms.
6.4 Messaging Consent Records
The Company maintains detailed records of all messaging consent, including the date, time, method of opt-in, the specific consent language presented to the User, and any opt-out requests received. These records are retained for a minimum of five (5) years to support regulatory compliance and audit requirements, including those imposed by Twilio, Inc. and applicable telecommunications laws.
6.5 No Sale of Personal Information
The Company does not sell, rent, trade, or otherwise disclose your Personal Information to third parties for their independent marketing purposes. The Company does not share messaging opt-in data or consent records with any unaffiliated third party for marketing or commercial purposes.
6.6 Data Security
The Company implements commercially reasonable administrative, technical, and physical safeguards to protect your Personal Information from unauthorized access, loss, or misuse. All payment data is processed by PCI-DSS compliant third-party processors. Communications are transmitted using industry-standard SSL/TLS encryption.
7. Acceptable Use Policy
7.1 Permitted Use
You may use the Platform and Services solely for lawful purposes and in accordance with these Terms. You agree to use the Platform and Services only in a manner consistent with applicable local, state, federal, and international laws and regulations.
7.2 Prohibited Conduct
You agree that you will NOT use the Platform or Services to:
- Transmit, upload, or distribute any unsolicited bulk messaging (spam), phishing communications, or deceptive content;
- Engage in fraud, misrepresentation, identity theft, or impersonation of any individual or entity;
- Harass, threaten, abuse, defame, or otherwise violate the legal rights of any individual;
- Transmit messages containing illegal, obscene, hate speech, or otherwise objectionable content;
- Violate the TCPA, CAN-SPAM Act, CTIA Messaging Principles, or any other applicable telecommunications law or regulation;
- Engage in double-brokering, freight fraud, identity misrepresentation, or carrier authority fraud in connection with logistics services;
- Interfere with, disrupt, or compromise the security or integrity of the Platform or any connected systems;
- Attempt to gain unauthorized access to any portion of the Platform, its servers, or related systems;
- Use automated tools, bots, or scrapers to access, collect, or extract data from the Platform without authorization;
- Reproduce, sell, resell, or commercially exploit any content or services available through the Platform;
- Circumvent any opt-out, suppression, or compliance mechanism in the Messaging Services;
- Use the Services for any illegal gambling, controlled substance, weapons, or other activity prohibited by applicable law.
7.3 Telecom Regulatory Compliance
If you are a business entity engaging the Company’s Services, you additionally agree to comply with all applicable telecommunications laws and regulations, including the requirements of the Federal Communications Commission (FCC), FMCSA, and applicable state public utility commissions. Any use of the Company’s communications infrastructure in connection with A2P messaging must comply with Twilio’s Acceptable Use Policy, available at https://www.twilio.com/legal/aup.
7.4 Enforcement
The Company reserves the right to investigate any suspected violation of this Acceptable Use Policy. Upon determination that a violation has occurred, the Company may, in its sole discretion, suspend or terminate your access to the Services, report violations to law enforcement or regulatory authorities, and seek all available legal and equitable remedies.
8. Third-Party Services
8.1 Overview
The Company integrates with the following Third-Party Service providers to deliver its Platform functionality and communications. Your use of the Platform may involve the transmission of your data to and through these providers:
8.2 Twilio, Inc.
Twilio, Inc. (375 Beale Street, Suite 300, San Francisco, CA 94105) serves as the Company’s underlying communications infrastructure provider for all SMS, voice, and related A2P messaging services. All outbound and inbound SMS and voice communications are routed through Twilio’s platform. Your use of the Messaging Services is subject to Twilio’s Terms of Service (https://www.twilio.com/legal/tos) and Twilio’s Acceptable Use Policy (https://www.twilio.com/legal/aup). The Company warrants that its use of Twilio’s services complies with all applicable A2P 10DLC registration requirements, CTIA guidelines, and Twilio’s messaging compliance standards.
8.3 WhatsApp Business API (Meta Platforms, Inc.)
The Company utilizes the WhatsApp Business API, provided by Meta Platforms, Inc., to deliver WhatsApp-based communications. All WhatsApp messaging is subject to Meta’s WhatsApp Business Policy, WhatsApp’s Terms of Service, and Meta’s Privacy Policy. Message templates are pre-approved by Meta prior to use in business-initiated communications.
8.4 Authorize.net
Authorize.net (a Visa solution) serves as a payment gateway for processing credit card and electronic check transactions on behalf of the Company. Payment data submitted through Authorize.net is subject to Authorize.net’s Privacy Policy and is processed in accordance with PCI-DSS standards. The Company does not store full card numbers, CVV codes, or banking account numbers on its own systems.
8.5 Stripe, Inc.
Stripe, Inc. serves as an additional payment processing provider for the Company. Payment data submitted through Stripe is subject to Stripe’s Privacy Policy and is processed in accordance with PCI-DSS standards. By submitting payment information for processing through Stripe, you agree to Stripe’s terms of service available at https://stripe.com/legal.
8.6 Disclaimer Regarding Third-Party Services
The Company is not responsible for the privacy practices, data security measures, service availability, or terms of any Third-Party Service provider. The Company does not control the actions of Third-Party Service providers and shall not be liable for any damages arising from your use of, or reliance on, third-party platforms. We encourage you to review the privacy policies and terms of service of all Third-Party providers before providing your information.
9. Fees, Payments, and Billing
9.1 Service Fees
Fees for the Company’s logistics, dispatch, and related services are disclosed in the applicable service agreement, rate confirmation, or quote provided to you prior to engagement. All fees are stated in United States Dollars (USD) and are subject to applicable federal, state, and local taxes.
9.2 Payment Processing
Payments for services rendered are processed through Authorize.net and/or Stripe, Inc. By submitting payment information, you authorize the Company to charge the applicable fees to your designated payment method. The Company does not store sensitive financial data on its own servers; all payment processing is handled by PCI-DSS compliant third-party processors.
9.3 Recurring Charges
Where the Company provides subscription or recurring services, you authorize the Company to charge your designated payment method on a recurring basis at the agreed-upon interval until the service is terminated in accordance with these Terms or the applicable service agreement. You will receive advance notice of any changes to recurring charges.
9.4 Late Payments
Invoices not paid within the time period specified in the applicable service agreement may be subject to late payment fees as set forth therein. The Company reserves the right to suspend services pending resolution of overdue invoices.
9.5 Refunds
Refunds, if applicable, are governed by the Company’s Refund & Returns Policy, available at https://www.highwayhaul.us/refund_returns/, which is incorporated herein by reference.
9.6 Messaging Services Fees
The Company does not charge Users a fee for receiving SMS, WhatsApp, or voice messages. However, standard message and data rates charged by your mobile carrier may apply. Message and data rates may apply. The Company is not responsible for charges assessed by your mobile carrier.
10. Intellectual Property Rights
10.1 Company Content
All content on the Platform, including but not limited to text, graphics, logos, images, icons, video and audio files, data compilations, and software, is the property of Highwayhaul Logistics Inc. or its content suppliers and is protected by applicable United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
10.2 Limited License
Subject to your compliance with these Terms, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal or internal business purposes. This license does not include the right to:
- Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any content on the Platform;
- Use any data mining, robots, scraping, or similar data gathering tools on the Platform;
- Download or copy any content for commercial use or to benefit any third party;
- Remove, alter, or obscure any proprietary notices on the Platform.
10.3 Trademarks
“Highwayhaul Logistics Inc.,” the Company’s logo, and all related names, marks, and indicia are registered or common law trademarks of the Company. Nothing in these Terms grants you any right to use the Company’s trademarks without prior written consent.
10.4 User-Submitted Content
To the extent you submit any content, feedback, or data to the Company through the Platform or in connection with Services, you grant the Company a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, modify, and display such content for the purpose of providing and improving the Services. You represent and warrant that any content you submit does not infringe any third-party intellectual property rights.
11. Disclaimer of Warranties
THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
- WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
- WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM;
- WARRANTIES WITH RESPECT TO THE PERFORMANCE OR AVAILABILITY OF ANY THIRD-PARTY SERVICES, INCLUDING TWILIO, LEAD CONNECTOR, META WHATSAPP API, AUTHORIZE.NET, OR STRIPE.
Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, some of the above exclusions may not apply to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR:
- ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL;
- DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
- DELAYS, INTERRUPTIONS, OR FAILURES IN MESSAGING SERVICES, INCLUDING SMS, WHATSAPP, OR VOICE COMMUNICATIONS, DUE TO CARRIER NETWORK CONDITIONS OR THIRD-PARTY SERVICE PROVIDER OUTAGES;
- DAMAGES ARISING FROM YOUR RELIANCE ON INFORMATION PROVIDED THROUGH THE PLATFORM.
IN NO EVENT SHALL THE COMPANY’S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
The limitations of liability set forth in this Section shall apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether the Company has been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Highwayhaul Logistics Inc. and its officers, directors, employees, agents, contractors, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and court costs) arising out of or in connection with:
- Your use of the Platform or Services in violation of these Terms;
- Your violation of any applicable law, regulation, or third-party right, including intellectual property rights, privacy rights, or telecommunications regulations;
- Any false, inaccurate, or misleading information provided by you to the Company;
- Your violation of the Messaging Program Terms set forth in Section 5, including unauthorized use of opt-in data or circumvention of opt-out mechanisms;
- Any claim by a third party arising from your use of, or reliance on, the Services.
The Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with the Company’s defense of such claim.
14. Termination of Use
14.1 Termination by You
You may terminate your use of the Platform and Services at any time by ceasing all use and, where applicable, canceling your service agreement in accordance with its terms. Opt-out of Messaging Services may be effectuated at any time pursuant to Section 5.3.
14.2 Termination by the Company
The Company may suspend or terminate your access to the Platform or Services, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or the Acceptable Use Policy;
- Non-payment of fees;
- Suspected fraudulent, illegal, or abusive activity;
- Termination required by applicable law or by a Third-Party Service provider (including Twilio’s enforcement of its Acceptable Use Policy);
- Cessation of the Company’s business operations.
14.3 Effect of Termination
Upon termination of your account or access to Services: (a) all licenses granted under these Terms shall immediately terminate; (b) you shall cease all use of the Platform and any associated software or content; (c) outstanding payment obligations shall remain due and payable; and (d) provisions of these Terms that by their nature should survive termination (including Sections 6, 10, 11, 12, 13, 16, and 17) shall continue in full force and effect.
15. Changes to Terms
The Company reserves the right to modify, update, or replace these Terms at any time in its sole discretion. When material changes are made, the Company will update the “Last Updated” date at the top of this document and, where practicable, provide notice to active clients via email or a prominent notice on the Platform.
Your continued use of the Platform or Services following the posting of revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, your sole remedy is to discontinue use of the Platform and Services. It is your responsibility to review these Terms periodically.
Notwithstanding the foregoing, changes to the Messaging Program Terms set forth in Section 5 that materially alter the nature or frequency of messages you will receive will not take effect unless you are provided with updated consent language and an opportunity to opt out.
16. Governing Law and Dispute Resolution
16.1 Governing Law
These Terms and all disputes arising out of or relating to your use of the Platform or Services shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles.
16.2 Jurisdiction
You irrevocably consent to the exclusive jurisdiction of the state and federal courts located in Dallas County, Texas, for the resolution of any dispute arising out of or related to these Terms or the Services. You waive any objection to the laying of venue in such courts.
16.3 Dispute Resolution
Before initiating any legal proceeding, each party agrees to make good-faith efforts to resolve any dispute informally by providing written notice of the dispute to the other party and allowing thirty (30) days for resolution. If the dispute cannot be resolved informally, either party may pursue legal action in the courts described in Section 16.2.
16.4 Class Action Waiver
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE THE RIGHT TO PARTICIPATE AS A CLASS REPRESENTATIVE OR CLASS MEMBER IN ANY CLASS ACTION CLAIM.
16.5 Waiver of Jury Trial
EACH PARTY HEREBY IRREVOCABLY WAIVES, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY IN ANY ACTION, PROCEEDING, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS.

18. Miscellaneous Provisions
18.1 Entire Agreement
These Terms, together with the Privacy Policy, Refund & Returns Policy, and any applicable service agreement or dispatch contract, constitute the entire agreement between you and the Company with respect to the subject matter hereof and supersede all prior understandings, negotiations, and agreements.
18.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
18.3 No Waiver
The failure of the Company to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the Company.
18.4 Assignment
You may not assign or transfer any of your rights or obligations under these Terms without the prior written consent of the Company. The Company may freely assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets, with notice to you.
18.5 Force Majeure
The Company shall not be liable for any delay or failure to perform its obligations under these Terms to the extent such delay or failure is caused by events beyond its reasonable control, including acts of God, natural disasters, government actions, telecommunications failures, cyberattacks, or labor disputes.
18.6 Electronic Consent
You agree that your electronic acceptance of these Terms (including clicking an “I Agree” button, checking a consent box, or submitting a form) constitutes a legally binding signature and is equivalent to a handwritten signature for all purposes under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and applicable state electronic signature laws.
18.7 Language
These Terms are written in the English language, which shall control in the event of any conflict with a translated version.
